General Terms and Conditions relating to the Good2Give Giving Platform

1. Good2Give Giving Platform
1.1. Clauses 1 to 8 are only applicable to Agreements where the SOW includes provision of the Good2Give Giving Platform (“Platform”).
1.2. You agree that your access to the Platform shall be limited to Authorised Users, being Eligible Donors, employees, or contractors (such as contracted staff members or payroll suppliers).
1.3. Use of the Platform is subject to the Good2Give Giving Platform User Terms and Conditions which can be found at https://good2give.ngo/terms-and-conditions/
1.4. You will ensure that each Authorised user keeps their password secure, and immediately advise G2G of any unauthorised use of the Platform, and that where the Authorised User has been granted access to the Employer Giving Centre and the Employer Payroll Centre, they understand their responsibilities which include:

Employer Giving Centre: The creation and sending of messages to new or current Donors.

Employer Payroll Centre: Managing users and confirming that users are Eligible Donors, and managing payroll batch information by confirming that the payroll system and the Platform calculated batch totals are identical.
1.5. You acknowledge that access to the Platform is provided on an “as is”, “as available” basis (which amongst other things depends on the availability of sufficient internet bandwidth and functioning network connections) and accordingly G2G does not warrant or guarantee that the Platform will be error-free or available at all times.
2. Customisation
2.1. Customisation work including software development (including, without limitation, integration with payroll systems or integration with a Single Sign On capability) is an additional service and is not included in the Services unless otherwise expressly statement in the SOW.
3. Authorised User Identification
3.1. You acknowledge that you are solely responsible for the identification of Eligible Donors, confirmation that the identification data stored on the Platform is correct, and that the Eligible Donor has your permission to participate in your Giving Program.
3.2. The identification data stored on the Platform includes Salutation, First Name, Surname, State, Email Address, and where relevant, Payroll ID.
3.3. You will ensure that all data relating to Eligible Donors provided to G2G in order for G2G to pre-populate the Platform is correct.
3.4. Any Eligible Donors whose information is not pre-populated by G2G using the information provided by you will be required to go to the relevant registration page and apply to use the G2G platform. You are required to confirm, using the Platform, that the applicant is permitted by you to participate in your Giving Program and that the identification data provided is correct.
3.5. You acknowledge that you are solely responsible for providing access (or requesting that G2G provide access) to the Platform for other Authorised Users who you require to use the Platform in connection with your Giving Program.
4. Donations and Grants
4.1. Payment of any Donation to Good2Give Community Fund by you or by an Eligible Donor constitutes an absolute transfer and is not returnable to you or the Eligible Donor.
4.2. G2G does not in any way guarantee, endorse, warrant, or make any representations regarding the objects, the financial standing, or status of any Charity listed on the Platform, to which it may make grants or which it may identify in any report or analysis as part of the Services.
4.3. G2G will only make grants to Nominated Charities in respect of Grant Requests following receipt of the funds from you (payroll donations and matching donations) or the Donor (non-payroll donations).
4.4. Good2Give Community Fund is a Public Ancillary Fund which has certain obligations including to the ATO and the ACNC. Where the making of a grant to a Nominated Charity in respect of a Grant Request would breach these obligations, or where G2G has been unable to perform successful validation procedures on the Nominated Charity, G2G as Trustee for Good2Give Community Fund will use its best endeavours to seek an alternate Grant Request from the Donor.
4.5. Where an alternate Grant Request is not received from the Donor, then G2G will be entitled to make a grant to another Charity in accordance with Good2Give Community Fund’s charitable purposes as it shall in its discretion deem appropriate.
4.6. Donors who make post-tax donations will receive a tax-deductible receipt from Good2Give Community Fund (and not the Nominated Charity) for the amount of their donation.
4.7. Unless specified in the fees and deductions section of the SOW the grant made to the Nominated Charity will be the amount donated less a deduction to cover G2G’s costs and access by the Charity to the Platform. This is subject to a separate agreement between G2G and the Charity.
4.8. You should seek your own tax advice as to whether any donations you make, such as matched donations, are tax deductible business expenses.
5. Communication with Donors
5.1. Information may be sent to Donors including Charity Communications and G2G Communications. Charity Communications are created by Charities and uploaded to the Platform. G2G assumes no responsibility for the content of Charity Communications.
5.2. Eligible Donors have the ability to opt in or opt out of direct communications from charities. Where they chose to opt out no details of the Eligible Donor are passed on to the charity with the grant.
6. Client Dependencies
6.1. Where your Giving Program includes Payroll Giving you agree to comply with all laws, rules and guidelines (including the ATO’s guidelines regarding reporting to employees) relevant to the operation of a Workplace Giving Program (as defined by the ATO).
6.2. You are responsible for training your Authorised Users to access and operate the Good2Give Giving Platform in the context of your specific payroll arrangements.
6.3. You are responsible for updating your payroll system with Grant Request details as required for Payroll deductions and managing the reconciliation between the Grant Requests on the Platform and the deductions on the payroll system.
6.4. You will, in line with your standard payroll timetable, deduct all Payroll Donations pledged by your Eligible Donors from the Eligible Donors’ salaries/wages and pay these promptly, and within 30 days of the end of the month in which such Payroll Donations were pledged, to G2G’s nominated bank account(s).
7. Hosting and Client Data
7.1. You acknowledge and agree that G2G uses Third Party service providers to host, support, and maintain the Platform and process Grant Requests, and that Client Data may be stored in systems managed by those Third Parties.
7.2. Credit Card details used for Non-payroll Donations are securely stored by G2G’s Payment Card Industry (PCI) Compliant payment provider and are not held by G2G or stored on the Giving Platform.
8. Payroll Agents
8.1. If you appoint a payroll agent, you must notify G2G as soon as reasonably practical.
8.2. You shall be responsible for all acts and omissions of such payroll agent as if they were your acts or omissions.
